How it works in a data room
A user selects two files, or two versions of the same file, and the system aligns the text and marks changes, much like a redline. Some rooms run the comparison automatically when a new version is uploaded, so bidders can see what changed without downloading both. Comparison inside the room keeps the work under view-only and watermark controls. It works best on text documents; spreadsheets and scanned files may need specialized handling.
Why it matters in a deal
Documents change throughout a deal: updated financial statements, revised disclosure schedules, new drafts of the purchase agreement. Reviewers need to know what changed, not reread everything. Combined with version control and change notifications, comparison prevents a quiet edit from slipping through, and it speeds up review of each bidder’s SPA markup.
Example
Two days before signing, the seller uploads a new version of the disclosure schedule. The buyer’s counsel runs a comparison against the previous version and spots a newly added paragraph disclosing a pending customer claim. The parties discuss it and agree a specific indemnity before signing.
