A data room is a secure place to share confidential documents with people outside your company. Physical data rooms were literal rooms full of binders, where bidders read under supervision. Virtual data rooms (VDRs) replaced them with an online workspace that anyone authorized can open from anywhere.
In a typical deal the seller uploads contracts, financials, HR records and intellectual property into an indexed folder structure, then invites buyers, investors, lawyers and auditors. A virtual data room is a secure online repository for sharing confidential documents with outside parties, most often during due diligence. Administrators control who sees each file, documents can be watermarked or locked to view-only, and every action is logged.
Mergers and acquisitions, fundraising, real estate transactions, IPOs, licensing deals in life sciences, litigation and restructuring, and ongoing board or investor reporting. Anywhere sensitive files must be reviewed by people outside the company.
Reputable providers encrypt data, support two-factor authentication, apply dynamic watermarks and keep a full audit trail, and many hold ISO 27001 or SOC 2 attestations. Security still depends on how the room is configured, so review permissions before inviting each party.
