Datasite is a default choice for many investment banks running a sale. Founded in 1999 and headquartered in the United States, it lists the full set of controls a large auction needs: Q&A, redaction, watermarking, document rights control, single sign-on and two-factor login, plus AI features and a mobile app. Our Datasite profile covers it in full.
The reasons sellers and advisers look at alternatives are usually commercial or practical rather than about missing features. Some want a quote to test the price, some want to trial a room before the mandate is signed, and some find that a different interface suits the bidders and management teams they work with. This guide looks at the alternatives through the specific lens of a sell-side process.
What does a sell-side process need from a data room?
A sell-side auction puts a particular load on a room. Several bidders arrive at once, each with advisers. Access has to be staged: a teaser and limited information in round one, a fuller room for the shortlist, a complete room plus confirmatory folders for the preferred bidder. Questions arrive in waves, and the seller must answer consistently and on time.
That translates into five practical requirements:
- Group permissions by bidder, with the ability to open folders to some bidders and not others, and to change access between rounds quickly.
- A structured Q&A module with categories, routing, approval and controlled release to one bidder or all.
- Bidder activity reports, so the sell-side adviser can see who is engaged and where.
- Leak deterrence: dynamic watermarking, view-only access and document rights control for sensitive folders.
- Clean-team folders for competitively sensitive information when a bidder is a competitor.
Every provider in this comparison lists Q&A, watermarking, audit trail and two-factor login. The differences are in identity controls, redaction, AI tools and the commercial model.

Datasite and five sell-side alternatives
Ellty: the full deal toolkit with AI and a published price
Ellty lists the tools a sell-side process leans on: Q&A, audit trail, dynamic watermarking, document rights management and two-factor login, with AI features and e-signature as well. That puts it in the same functional class as Datasite and iDeals for running bidder rounds, with a cleaner, faster set-up and transparent pricing from $149 a month. It scores 4.8 in our directory, led by ease of use and value, and offers a 14-day free trial.
Where it differs from Datasite on paper: our records do not list SSO, built-in redaction, a mobile app or an ISO 27001 certificate for Ellty (it lists SOC 2). If your bank’s policy requires SSO for its own staff, or you plan to redact inside the room rather than before upload, raise those points early. Our Ellty vs Datasite comparison goes pillar by pillar.
iDeals: enterprise controls with a trial
iDeals matches Datasite on the controls procurement teams check: SSO, two-factor login, redaction, document rights management, SOC 2 and ISO 27001. It adds an API, which Datasite does not list, and offers a free trial. It does not list AI features or a mobile app. Its support scores well in our ratings, which matters in a process where bidders log in from several time zones. Our iDeals vs Datasite comparison sets out the differences in detail.
Intralinks: the other veteran
Intralinks is the closest to Datasite in age and client base, and it matches it on certifications, SSO and redaction. It does not list AI features or a mobile app, and neither provider lists a free trial. Choosing between them is often about the adviser’s familiarity and the quote. Our Datasite vs Intralinks comparison covers the head-to-head, and our guide to Intralinks alternatives looks at the market from the other side.
Ansarada: preparation before launch
Ansarada lists SSO, two-factor login, Q&A and AI features, holds SOC 2 and ISO 27001, and offers a free trial. Its approach emphasizes preparing a room well before the process launches, which suits sellers who want to get their documents in order months ahead of a sale. It does not list built-in redaction in our records.
Firmex: dependable mid-market auctions
Firmex lists Q&A, redaction, watermarking, document rights management and two-factor login, with SOC 2 and ISO 27001, and offers a free trial. It does not list SSO or AI features. For mid-market auctions run by boutique advisers, where bidders are fewer and the room needs to be simple to run, it is a common choice. Our iDeals vs Firmex comparison shows how it stacks up against a larger rival.
Trial before mandate
A sell-side adviser who can show a seller a working room during the pitch has an advantage. With four of these five alternatives offering a free trial, you can build a sample room with the seller’s folder structure before the engagement letter is signed.
How do the pricing models compare for an auction?
Datasite, iDeals, Intralinks, Ansarada and Firmex quote on request. Ellty publishes a monthly price. For a sell-side process, the shape of the quote matters as much as the total:
- Bidder count. Auctions add users quickly. Check whether outside users are unlimited or capped.
- Duration. A sale by auction often runs four to nine months; see our guide to how long a data room stays open. Ask for the extension rate.
- Volume. Page-based or storage-tier pricing can jump when the seller adds scanned records late in the process.
- Services. Managed indexing and round-the-clock support may be included in an enterprise quote and extra elsewhere.
Our VDR pricing guide includes a calculator for comparing models, and our total cost of ownership guide shows why administration hours should sit next to the license fee.
Which Datasite alternative suits which sell-side process?
| Process | Good alternatives | What to check |
|---|---|---|
| Large bank-led auction, many bidders | iDeals, Intralinks | SSO, support coverage, user caps |
| Mid-market auction run by a boutique adviser | Ellty, Firmex, iDeals | Q&A workflow, bidder reports, price for 4 to 9 months |
| Seller preparing well before launch | Ansarada, Ellty | Preparation tools, cost while the room is not yet live |
| Process with AI-assisted review | Ellty, Ansarada | How AI features work and what data they use |
| Competitor bidder, clean team needed | Any of the above | Folder-level restrictions and audit trail for the clean team |
The investment banking and mergers and acquisitions pages describe how each process uses the room in more depth.
How to evaluate alternatives for your next mandate
Use your last mandate as the test case. Rebuild a small slice of it in each trial room: the folder index, three bidder groups, a round of twenty questions, and a staged release from round one to round two. Time the work. Ask a colleague outside the deal team to act as a bidder and report on the experience.
Then ask each provider for a quote on the same scenario: the number of bidders, users, months and gigabytes from that mandate. The combination of hours saved and price quoted is a better guide than any feature table, including ours. Our data room RFP template has a pricing schedule you can reuse.
