How it works in a data room
Providers run their platforms in one or more hosting regions, such as the United States, the EU, the UK, Canada or Australia. When a room is created, the administrator or the provider chooses where its documents and backups live. Some platforms keep metadata, search indexes or support access in a different country from the files themselves, so it is worth asking what exactly stays local. Pairing local storage with customer-managed keys gives extra control over who can read the data.
Why it matters in a deal
Certain sellers, especially in banking, government contracting and healthcare, face rules or internal policies that restrict moving data across borders. Under the GDPR, sending personal data outside the EU requires a valid transfer mechanism such as standard contractual clauses. Example
A state-owned utility in the United Arab Emirates sells a minority stake in a water project. Its policy requires that documents remain in the country, so the shortlist is limited to rooms that can host in a UAE data center.
