How it works in a data room
The agreement states the initial term, the renewal length and the notice window. If nobody cancels in writing before the window closes, the next period starts and is billed, sometimes at a new list price rather than the original discount. Monthly plans renew each month; annual plans may renew for another full year. Notice often has to go to a specific email address or through the admin console.
Why it matters in a deal
Rooms frequently outlive their deals. After closing, the team exports the data room archive, moves on and forgets the subscription until a renewal invoice arrives. With long notice windows, the cancellation date may fall in the middle of a busy closing. Put the notice deadline in the deal calendar at signing, ask whether renewals carry a price cap and confirm whether the room can drop to a cheaper archive-only tier instead.
Example
An advisory boutique signs an annual plan with a 60-day notice period. The deal it was bought for closes in month seven, and nobody remembers the renewal. The next year is billed in full at list price. The firm negotiates a partial credit and now records every renewal deadline when it opens a room.
