What is a virtual data room (VDR)?

Definition

Virtual data room (VDR): A secure online workspace where a company stores confidential documents and lets outside parties review them under controlled, logged access, most often during a transaction or audit.

The four stages of a typical data room project

  1. 1 Set up The seller's team builds the folder index, uploads documents and agrees who will administer the room.
  2. 2 Invite and grant access Each outside party joins as a group, accepts the terms of access and receives rights folder by folder.
  3. 3 Review and Q&A Reviewers read documents, raise questions and the team answers them inside the room.
  4. 4 Close and archive Access ends, and the parties keep a fixed copy of what was disclosed for future reference.
The review stage is where most of the room's working life is spent, so plan permissions and Q&A before inviting anyone.

How it works in a data room

The platform runs in a web browser, so nobody needs to install software or travel to a meeting room. A seller, borrower or fund uploads its files into an indexed folder tree, then invites reviewers by email. Each reviewer signs in, usually with a second factor, and sees only the folders their group was granted. Documents open in a protected viewer that can stamp the reader’s name on each page and block printing or downloads. Why it matters in a deal

Before online rooms, buyers flew advisers to a physical data room and read paper binders under supervision. The online version lets several bidders work in parallel from different countries, shortens review from months to weeks, and leaves a record that helps settle later disputes about what was disclosed. It also reduces the risk of a sensitive file being emailed onward without control.

Example

A family-owned logistics business in Ohio hires an adviser to run a sale. The adviser opens a room, uploads around 4,000 files, and invites nine buyers.
