What is a due diligence request list?

Definition

Due diligence request list: A structured list of documents and information a buyer asks the seller to provide, organized by topic and used to track what has been supplied, answered or is still missing.

How it works in a data room

Buyers’ advisers send a request list early, often as a spreadsheet with numbered items grouped by area: corporate, finance, tax, commercial, HR, IP, IT, property, environmental. Sellers map each request to a folder or document in the room, so the index and the list mirror each other. Some platforms import the list directly and track status per item, linking uploads and Q&A threads to each request. Folder templates based on common request lists save setup time.

Why it matters in a deal

The request list is the shared to-do list of diligence. Without it, both sides lose track of what has been asked and answered, and late discoveries derail timetables. A clean mapping between requests and the room also helps lawyers later when they check what was disclosed against each warranty. Example

A buyer of a mid-sized Texas oilfield services company sends a 220-item request list. The seller’s team imports it, assigns owners, and links each item to its folder. Weekly status reports show 85 percent complete after two weeks; the remaining items, mostly environmental permits, become the focus of the next call.
