What are access requests in a data room?

Definition

Access requests: A workflow that lets a user ask for permission to see a folder or document they cannot currently open, with the request routed to an administrator who approves or declines it and the decision logged.

How it works in a data room

Instead of emailing the deal team, a user clicks on a locked folder or a placeholder entry and submits a short reason. The request lands in an administrator queue, often with the user’s group and current rights shown alongside. The administrator can approve for the whole group, approve for that person only, set an end date or decline with a note. Each step is captured in the audit trail, which matters later when the parties discuss what was disclosed and when.

Why it matters in a deal

In a staged disclosure process, sensitive material is released gradually and only to bidders who reach the right point. Without a structured request path, permission changes happen by email and phone, get lost or are applied inconsistently. A request queue gives the seller a single place to decide, keeps bidders treated fairly and leaves evidence of each decision.

Example

In the second round of a software sale, a bidder’s technical adviser needs the source code escrow agreement, which sits in a restricted folder. She submits a request explaining the purpose. The seller’s adviser approves it for her alone for ten days and logs the reason. A rival bidder later asks for the same document and receives the same treatment, keeping the process even.
